From Corporate Structuring to Drafting Terms of Use.

Entrepreneurs from São Paulo looked for Vanzin & Penteado in the MVP phase of development of the Startup called Cabide.

The project is an initiative focused on increasing job opportunities, in a less bureaucratic and technological way, through an application that connects providers of various services with potential clients.

Firstly, the scope defined and executed by Vanzin & Penteado was:

Thus, the study considered those involved in the venture, the phase and needs of the project, the participation and roles performed by each partner, personal constraints, and the type of service offered by the platform.

After analysis and finalized legal opinion, presentation of alternatives and developments for each of the options, the entrepreneurs chose the path that best met their premises and needs.

The corporate instruments were then prepared, which were delivered to the partners and subsequently signed.

In turn, the scope defined and executed by Vanzin & Penteado was:

• Analysis of the idealized business model
• Analysis of the platform’s operation and flows
• Creation of the Terms and Conditions of Use of the Platform

Therefore, a complete understanding of the process was necessary, especially regarding the services offered by the platform, in order to identify the responsibilities of each party. Furthermore, the analysis demonstrated that Cabide functions as a virtual environment for intermediating transactions between users who are service recipients and service providers. Thus, the company's responsibility was limited to this context.

Furthermore, the team conducted an in-depth study of the platform's flows, from user registration to issues related to the protection of personal data. The analysis also considered the dynamics of relationships between users, the obligations and duties of each party, and the project's monetization model.

Since one of the objectives of the Terms of Use is also to ensure greater legal security for the company, the team considered topics such as intellectual property and the resolution of potential disputes.

It is important to emphasize the dynamic nature of this instrument, which must evolve accordingly. Therefore, new updates, features , and services made available to the end customer should reflect any adjustments made to the legal documents.
